3. Client Responsibilities

3.2 Compliance with Laws
You agree to comply with all applicable laws, regulations, and industry standards related to your business and the marketing activities undertaken on your behalf. It is your responsibility to ensure that any content or materials provided to YES Factory for marketing purposes are legal and do not infringe upon any third-party rights.
4. Confidentiality
4.1 Non-Disclosure Agreement

YES Factory agrees to treat all information disclosed by you as confidential and shall not disclose or use such information for any purpose other than providing the agreed-upon marketing services. This obligation shall survive the termination of our engagement.

Notwithstanding the above, YES Factory may disclose your confidential information if required by law, court order, or governmental regulation. We will promptly notify you of any legal requirement that may necessitate the disclosure of your confidential information, unless prohibited by law.
5. Ownership and Intellectual Property
5.1 Client Materials
You retain all ownership rights and intellectual property rights to any content, materials, or data provided by you to YES Factory for use in marketing campaigns. By providing such materials, you grant YES Factory a limited, non-exclusive, worldwide license to use, reproduce, modify, and display such materials solely for the purpose of providing the agreed-upon services.
5.2 YES Factory Materials
All intellectual property rights in the materials developed or created by YES Factory as part of our marketing services, including but not limited to designs, graphics, logos, and written content, shall belong to YES Factory unless otherwise agreed in writing.
6. Term and Termination

These Terms of Service shall remain in effect for the duration of our engagement, starting from the date of mutual agreement.

Either party may terminate the engagement by providing written notice to the other party. In the event of termination, you shall be responsible for compensating YES Factory for any services rendered up to the termination date.

To the maximum extent permitted by applicable law, YES Factory shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the services provided, regardless of the cause of action or legal theory.

These Terms of Service shall be governed by and construed in accordance with the laws of Oklahoma County. Any disputes arising out of or in connection with these Terms of Service shall be subject to the exclusive jurisdiction of the courts of Oklahoma County.

These Terms of Service constitute the entire agreement between YES Factory and the client, superseding any prior agreements, understandings, or representations, whether written or oral, relating to the subject matter herein.
8.3 Amendments
YES Factory reserves the right to modify or amend these Terms of Service at any time. Any changes will be effective upon posting the updated Terms of Service on our website or providing notice to you via email.
